RingCentral Online Terms Of Service

THESE ONLINE TERMS OF SERVICE, including the Order(s) and any applicable Service Attachments, which by this reference are incorporated herein (“Agreement”), are a binding agreement between RingCentral France, a French société par actions simplifiée with a share capital of 26,623,481  euro, whose registered office is located at 3-5 rue Saint-Georges, 75009 Paris, France, registered with the Trade and Companies Register of Paris under number 850 332 149 (“RingCentral”), RingCentral and Customer may be individually referred to as a “Party” or collectively as the “Parties.”

RingCentral provides services and equipment intended solely for business use, pursuant to the terms and conditions set forth in this Agreement and on the condition that customer accepts and complies with this Agreement. By electronically signing this Agreement, Customer (a) accepts this agreement and agrees that Customer is legally bound by its terms; and (b) represents and warrants that: (i) its representative is 18 years of age or of legal age to enter into a binding agreement; and (ii) has the right, power, and authority to enter into this agreement on behalf of the corporation, governmental organization, or other legal entity, and to bind such organization to these terms. If Customer does not agree to the terms of this agreement, neither Customer nor its End Users may download, install, or use the services or equipment.

If Customer’s Home Country, as defined below, is any country other than Spain, please see additional country-specific terms which are applicable to the Services which are available at https://www.ringcentral.fr/legal/tos-country-specific-terms.html and incorporated into these RingCentral Online Terms of Service.

The Parties agree as follows:

1. Definitions

Capitalized terms not defined have the meaning given to them in Attachment A.

2. Ordering and Term

A. Ordering Services

Customer may order Services by submitting electronically an Order in the format provided by RingCentral on the RingCentral website or, for subsequent orders, via the Administrative Portal. The Order will identify the Services requested by Customer together with: (i) the price for each Service; (ii) scheduled Start Date; (iii) and products leased, licensed or sold to Customer, if any.

An Order will become binding when it is executed by the Customer and accepted by RingCentral. RingCentral may accept an Order by commencing performance of the requested Services. The Services will begin on the Start Date, as identified in the applicable Order. Customer may purchase additional Services, software, and equipment through Orders via the Administrative Portal.

B. Service Descriptions

The Service Attachment(s) applicable to Customer’s Services are incorporated into and forms a part of this Agreement.

RingEX is a cloud-based unified communications service that includes enterprise-class voice, fax, text, call handling, mobile apps, and bring your own device (BYOD) capability that integrates with a growing list of applications. The Service Attachment for RingEX is available at https://www.ringcentral.com/legal/office-service-attachment.html.

RingCentral Meetings is an enterprise-class cloud-based video conferencing and collaboration service that includes screen and file sharing, text, and mobile applications. The Service Attachment for RingCentral Meetings is available at https://www.ringcentral.com/legal/meetings-service-attachment.html.

C. Equipment

Customer may purchase or rent equipment from RingCentral for use with the Services. The terms and conditions that govern any such transaction can be found at:

D. Term of this Agreement

The Term of this Agreement will commence on the Effective Date and continue until the last Order Form is terminated or expires, unless terminated earlier in accordance with its terms.

E. Services Term and Automatic Renewal

The Services’ term will begin on the Start Date of the initial Order and continue for the initial term set forth in the initial Order (“Initial Term”). Upon expiration of the Initial Term, recurring Services will automatically renew for successive periods of the same length as the Initial Term (each a “Renewal Term”) unless either Party gives notice of non-renewal at least thirty (30) days before the expiration of the Initial Term or the then-current Renewal Term. The term of any recurring Services added to the Account after the initial Order is submitted will start on the Start Date of the subsequent Order, will run coterminously with the then-current term of any pre-existing Services, and will be billed on the same billing cycles as the pre-existing Services.

3. Invoicing and Payment

A. Prices and Charges

All prices are identified in Euros on the website or Administrative Portal. Additional charges may result if Customer activates additional features, exceeds usage thresholds, or purchases additional Services or equipment. Customer will be liable for all charges resulting from use of the Services on its Account.

Recurring charges for the Services begin on the Start Date, and will continue for the Term. Recurring charges (such as charges for Digital Lines, product licenses, minute bundles, and equipment rental fees) will, once incurred, remain in effect for the Initial Term (as described in an Order Form) or the then-current Renewal Term. RingCentral will provide notice of any proposed increase in such charges no later than thirty (30) days before the end of the Initial Term or then-current Renewal Term, and any such increase will be effective on the first day of the next Renewal Term. Administrative Fees that RingCentral is entitled to pass on to its customers as a surcharge pursuant to applicable Law may be increased on thirty (30) days’ written notice.

Outbound calling rates will be applied based on the rate in effect at the time of use. Customer may locate the currently effective rates in the Administrative Portal.

B. Billing and Payment

All Services and equipment must be purchased via valid credit or debit card at the time of purchase. By providing a valid credit or debit card, Customer is expressly authorizing all Services and equipment charges and fees to be charged to such payment card, including recurring payments billed on a monthly or annual basis. In addition, Customer’s supplied credit card shall be used for any in-month purchases of additional services and products, or where Customer has exceeded usage or threshold limits, or any overage charges. Recurring charges are billed in advance in the frequency set forth in the Order Form, and usage-based and one-time charges are billed monthly in arrears . Credit and debit card payments are subject to the approval of the card issuer, and RingCentral will not be liable in any way if a card issuer refuses to accept a credit or debit card for any reason. Customer is responsible for any credit card chargeback or similar fees for refused or rejected payments that RingCentral is entitled to charge under this Agreement. If the payment card associated with Customer’s Account is declined or fails for any reason, RingCentral will send Customer a notice using the contact information associated with Customer’s Account. RingCentral may continue to attempt charging Customer’s payment card for outstanding charges and additional fees along with any other rights and remedies available to RingCentral under this Agreement, at law or in equity.

Unless otherwise stated at the time of purchase or on the invoice, payment is due in full, without deduction or set-off, within thirty (30) days of the date on the invoice. Any payment not made when due will be subject to a late payment fee equivalent to the lesser of (i) one and a half percent (1.5%) per month; or (ii) the highest rate allowed by Law. RingCentral’s acceptance of late or partial payments (regardless of how they are marked or designated (including without limitation as ‘Paid in Full’, ‘Accord and Satisfaction’, or similarly)) will not waive, limit, or prejudice in any way RingCentral’s rights to collect any amount due. RingCentral may terminate the Services and this Agreement for non-payment if any fees or charges are not paid within thirty (30) days of the due date.

C. Taxes

All rates, fees, and charges are exclusive of applicable Taxes, for which Customer is solely responsible. Taxes may vary based on jurisdiction and the Services provided. Taxes, access fees, universal service or other recovery fees, or similar charges will be adjusted on the date in which those increases become effective as mandated by competent authority. If any withholding tax is levied on the payments, then Customer must increase the sums paid to RingCentral so that the amount received by RingCentral after the withholding tax is deducted is the full amount RingCentral would have received if no withholding or deduction had been made.

D. Billing Disputes

If a Customer reasonably and in good faith disputes any portion of RingCentral’s charges, it must provide written notice to RingCentral within thirty (30) days of the invoice date, identifying the reason for the dispute and the amount being disputed. Customer’s dispute as to any portion of the invoice will not excuse Customer’s obligation to timely pay the undisputed portion of the invoice. Upon resolution, Customer must pay any unpaid amounts within thirty (30) days. Any amounts that are found to be in error resulting in an overpayment by the Customer will be applied as a billing credit against future charges. Customer will be reimbursed any outstanding billing credits at the expiration or termination of this Agreement.

4. Provision of the Service

A. General Terms

RingCentral will provide the Services as described in the relevant Service Attachment. RingCentral may enhance, replace, and/or change the features of the Services, but it will not materially reduce the core features, functions, or security of the Services during the Term without Customer’s consent.

B. Customer Care

a) Customer must provide all first-tier support to Customer’s End Users. RingCentral may require Customer’s Helpdesk support personnel to complete a series of training courses on RingCentral’s Services. Such training will be provided online by RingCentral at no cost.

b) RingCentral will make second-tier remote support available to Customer’s Helpdesk personnel and/or Account Administrators via the RingCentral Customer Care Center, which will be available 24/7, to attempt to resolve technical issues with, and answer questions regarding the use of the Services. Onsite and implementation services are not included in the RingCentral Customer Care support.

c) Customer may open a case with RingCentral Customer Care at https://success.ringcentral.com/RCContactSupp. Any individual contacting Customer Care on behalf of Customer must be authorized to do so on behalf of the Account and will be required to follow RingCentral’s authentication protocol.

C. Professional Services

RingCentral offers a broad portfolio of professional services that includes onsite and remote implementation services; extended enterprise service, including dedicated proactive network monitoring and premium technical support, and consulting. Any such services are governed by this Agreement, RingCentral’s Professional Services Agreement, and any applicable Statement of Work (SOW)., which may be attached hereto.

D. Subcontracting

RingCentral may provide any of the Services hereunder through any of its Affiliates or subcontractors, provided that RingCentral will bear the same degree of responsibility for acts and omissions for those subcontractors acting on RingCentral’s behalf in the performance of its obligations under this Agreement as it would bear if such acts and omissions were performed by RingCentral directly.

5. Use of the Service

A. Service Requirements

The Services are dependent upon Customer’s maintenance of sufficient Internet access, networks and power as set forth in RingCentral’s Technical Sufficiency Criteria, available at https://www.ringcentral.com/es/es/legal/technical-sufficiency-criteria.html. RingCentral will not be responsible for any deficiencies in the provision of the Services if Customer’s network does not meet RingCentral’s Technical Sufficiency Criteria.

B. Use Policies

Customer and its End Users may use the Services only in compliance with this Agreement, applicable Law, and the Use Policies referenced below, which are incorporated into and form part of this Agreement. Customer may not use, or permit the use of the Services to interfere with the use of RingCentral’s Services by others, or with the operation of the RingCentral Network. Customer may not resell the Services. Customer must ensure that its End Users comply with the Use Policies. Any breach of this Section 5B (Use Policies) will be deemed a material breach of this Agreement.

RingCentral may update the Use Policies from time to time and will provide notice to Customer at the email address on file with the Account. Such updates will become effective thirty (30) days after such notice to Customer.

i. Acceptable Use Policy

The Services must be used in accordance with RingCentral’s Acceptable Use Policy, available at https://www.ringcentral.com/es/es/legal/acceptable-use-policy.html.

Notwithstanding anything to the contrary in this Agreement, RingCentral may act immediately and without notice to suspend or limit the Services if RingCentral reasonably suspects fraudulent or illegal activity in the Customer’s Account, material breach of the Acceptable Use Policy, or use of the Services that could interfere with the functioning of the RingCentral Network, provided such suspension or limitation may only be to the extent reasonably necessary to protect against the applicable condition, activity, or use. RingCentral will promptly remove the suspension or limitation as soon as the condition, activity or use is resolved and mitigated in full. If Customer anticipates legitimate but unusual activity on its Account, Customer should contact RingCentral Support in advance to avoid any Service disruption.

ii. Emergency Services

RingCentral’s policy governing the provision of emergency services accessed via the Services is available at https://www.ringcentral.com/es/es/legal/emergency-services.html.

iii. Numbering Policy

The provision, use, and publication of numbers used in conjunction with the Services are governed by RingCentral’s Numbering Policy, available at https://www.ringcentral.com/es/es/legal/numbering-policy.html.

6. Termination

A. Termination for Cause

Either Party may terminate this Agreement and any Services purchased hereunder in whole or part by giving written notice to the other Party if the other Party: i) breaches any material term of this Agreement and fails to cure such breach within thirty (30) days after receipt of such notice; ii) at the written recommendation of a government or regulatory agency following a change in either applicable Law or the Services.

B. Effect of Termination

a) If Customer terminates the Services, a portion of the Services, or this Agreement in its entirety due to RingCentral’s material breach under Section 6(A) (Termination for Cause), Customer will not be liable for any fees or charges for terminated Services for any period subsequent to the effective date of such termination (except those arising from continued usage before the Services are disconnected), and RingCentral will provide Customer a pro-rata refund of all any prepaid and unused fees or charges paid by Customer for terminated Services.

b) If this Agreement or any Services are terminated for any reason other than as a result of a material breach by RingCentral or as set forth in Section 14(K) (Regulatory and Legal Changes) the Customer must, to the extent permitted by applicable Law and without limiting any other right or remedy of RingCentral, pay within thirty (30) days of such termination all amounts that have accrued prior to such termination, as well as all sums remaining unpaid for the Services for the remainder of the then-current Term plus related Taxes and fees.

7. Intellectual Property

A. Limited License

1. Subject to, and conditional upon Customer’s compliance with, the terms of this Agreement, RingCentral grants to Customer and its End User, a limited, personal, revocable, non-exclusive, non-transferable (other than as permitted under this Agreement), non-sublicensable license to use any software provided or made available by RingCentral to the Customer as part of the Services (“Software”) to the extent reasonably required to use the Services as permitted by this Agreement, only for the duration that Customer is entitled to use the Services and subject to the Customer being current on its payment obligations.

2. Customer will not, and will not allow its End Users, to:

  • a) Sublicense, resell, distribute or assign its right under the license granted under this Agreement to any other person or entity;
  • b) modify, adapt or create derivative works of the Software or any associated documentation;
  • c) reverse engineer, decompile, decrypt, disassemble or otherwise attempt to derive the source code for the Software;
  • d) use the Software for infringement analysis, benchmarking, or for any purpose other than as necessary to use the Services Customer is authorized to use;
  • e) create any competing Software or Services; or
  • f) remove any copyright or other proprietary or confidential notices on any Software or Services.

B. IP Rights

i. RingCentral’s Rights

Except as expressly provided in this Agreement, the limited license granted to Customer under Section 7(A) (Limited License) does not convey any ownership or other rights or licenses, express or implied, in the Services, any related materials, or in any Intellectual Property and no IP Rights or other rights or licenses are granted, transferred, or assigned to Customer, any End User, or any other party by implication, estoppel, or otherwise. All rights not expressly granted herein are reserved and retained by RingCentral and its licensors. The Software and Services may comprise or incorporate services, software, technology or products developed or provided by third parties, including open source software or code. Customer acknowledges that misuse of RingCentral Services may violate third-party IP Rights.

ii. Customer Rights

As between RingCentral and Customer, Customer retains title to all IP Rights that are owned by the Customer or its suppliers. To the extent reasonably required or desirable for the provision of the Services, Customer grants to RingCentral a limited, personal, non-exclusive, royalty-free, license to use Customer’s IP Rights in the same. Customer must provide (and is solely responsible for providing) all required notices and obtaining all licenses, consents, authorizations or other approvals related to the use, reproduction, transmission, or receipt of any Customer Content that includes personal or Confidential Information or incorporates any third-party IP rights.

C. Use of Marks

Neither Party may use or display the other Party’s trademarks, service mark or logos in any manner without such Party’s prior written consent.

8. Confidentiality

A. Restrictions on Use or Disclosures by Either Party

During the Term of this Agreement and for at least one (1) year thereafter, the Receiving Party shall hold the Disclosing Party’s Confidential Information in confidence, shall use such Confidential Information only for the purpose of fulfilling its obligations under this Agreement, and shall use at least as great a standard of care in protecting the Confidential Information as it uses to protect its own Confidential Information.

Each Party may disclose Confidential Information only to those of its employees, agents or subcontractors who have a need to it in order to perform or exercise such Party’s rights or obligations under this Agreement and who are required to protect it against unauthorized disclosure in a manner no less protective than required under this Agreement. Each Party may disclose the other Party’s Confidential Information in any legal proceeding or to a governmental entity as required by Law.

These restrictions on the use or disclosure of Confidential Information do not apply to any information which is independently developed by the Receiving Party or lawfully received free of restriction from another source having the right to so furnish such information; after it has become generally available to the public without breach of this Agreement by the Receiving Party; which at the time of disclosure was already known to the Receiving Party, without restriction as evidenced by documentation in such Party's possession; or which the Disclosing Party confirms in writing is free of such restrictions.

Upon termination of this Agreement, the Receiving Party will promptly delete, destroy or, at the Disclosing Party’s request, return to the Disclosing Party, all Disclosing Party’s Confidential Information in its possession, including deleting or rendering unusable all electronic files and data that contain Confidential Information, and upon request will provide the Disclosing Party with certification of compliance with this subsection.

9. Data Protection

A. Data Privacy

RingCentral respects Customer’s privacy and will only use the information provided by Customer to RingCentral or collected in the provision of the Services in accordance with RingCentral’s Data Processing Addendum, available at https://www.ringcentral.com/es/es/legal/dpa.html, which is hereby incorporated by reference. RingCentral may update the Data Processing Addendum from time to time and will provide notice of any material updates to the Customer as required by applicable Laws at the email address on file with the Account. Such updates will be effective thirty (30) days after such notice to Customer.

B. Data Security

RingCentral will take commercially reasonable precautions, including, without limitation, technical (e.g., firewalls and data encryption), administrative and physical measures, to help safeguard Customer’s Account, Account Data, and Customer Content against unauthorized use, disclosure, or modification.

Customer must protect all End Points using industry-standard security measures. Customer is solely responsible to keep all user identifications and passwords secure. Customer must monitor use of the Services for possible unlawful or fraudulent use. Customer must notify RingCentral immediately if Customer becomes aware or has reason to believe that the Services are being used fraudulently or without authorization by any End User or third party. Failure to notify RingCentral may result in the suspension or termination of the Services and additional charges to Customer resulting from such use. RingCentral will not be liable for any charges resulting from unauthorized use of Customer’s Account.

C. Software Changes

RingCentral may from time to time push software updates and patches directly to Customer’s device(s) for installation and Customer will not prevent RingCentral from doing so. Customer must implement promptly all fixes, updates, upgrades and replacements of software and third-party software that may be provided by RingCentral. RingCentral will not be liable for inoperability of the Services or any other Services failures due to failure of Customer to timely implement the required changes.

10. LIMITATION OF LIABILITY

A. Excluded Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL EITHER PARTY OR ITS AFFILIATES BE LIABLE FOR (1) damages incurred in the absence of wilful misconduct; (2) COSTS OF PROCUREMENT, COVER, OR SUBSTITUTE GOODS OR SERVICES; (3) LOSS OF USE, LOSS OR CORRUPTION OF DATA; OR (4) LOSS OF BUSINESS OPPORTUNITIES, PROFITS, GOODWILL, OR SAVINGS, WHETHER IN ANY OF THE FOREGOING, ARISING UNDER CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), OR ANY OTHER THEORY OF LIABILITY, EVEN IF SUCH PARTY HAS BEEN INFORMED IN ADVANCE OF SUCH DAMAGES OR SUCH DAMAGES COULD HAVE BEEN REASONABLY FORESEEN. NEITHER PARTY WILL BE LIABLE FOR ACTIONS REASONABLY TAKEN TO COMPLY WITH LAW.

B. Direct Damages

EXCEPT AS SET FORTH HEREIN, THE TOTAL CUMULATIVE LIABILITY OF THE PARTIES UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT DURING THE PREVIOUS SIX (6) MONTHS. LIMITATIONS UNDER THIS SECTION 10(B) (DIRECT DAMAGES) WILL NOT APPLY TO: I) CUSTOMER PAYMENT OBLIGATIONS; II) EITHER PARTY’S LIABILITY FOR INFRINGEMENT OF THE OTHER PARTY’S IP RIGHTS; III) EITHER PARTY’S LIABILITY RESULTING FROM GROSS NEGLIGENCE, FRAUD, OR WILLFUL OR CRIMINAL MISCONDUCT; OR IV) CUSTOMER’S LIABILITY RESULTING FROM USE OF THE SERVICES IN BREACH OF THE ACCEPTABLE USE POLICY OR EMERGENCY SERVICES POLICY.

NOTHING IN THIS AGREEMENT SHALL LIMIT OR EXCLUDE ANY LIABILITY WHICH MAY NOT BE RESTRICTED, LIMITED OR EXCLUDED PURSUANT TO APPLICABLE LAW.

C. Survival

The limitations of liability contained in this Section 10 (Limitation of Liability) will survive termination or expiration of this Agreement and apply in any and all circumstances (except as expressly set forth above), including without limitation in the event of any failure of the essential purpose of any limited warranty or available remedy provided herein.

11. Indemnification

A. Indemnification Obligations

Customer agrees to indemnify and defend RingCentral and its Affiliates at Customer’s expense, from and against any and all third-party claims, arising out of or in connection with: i) material violation of applicable Law by the Customer or its End Users in connection with the use of the Services; ii) use of the Services in a manner not authorized by this Agreement; iii) failure to promptly install any updates of any software or firmware or accept or use modified or replacement items provided by or on behalf of RingCentral, or iv) claims relating to Customer Content. Further, Customer will indemnify and hold harmless RingCentral against all damages, costs, and legal fees finally awarded against RingCentral by a court of competent jurisdiction in connection with such third-party claim or agreed to in a written settlement agreement approved in writing by the Customer.

B. Defense and Indemnification Procedures

Any Party seeking defense or indemnification (the “Indemnified Party”) must provide the Party from which it seeks such indemnification or defense (the “Indemnifying Party”) with the following: (a) prompt written notice of the third-party claim, (b) sole control over the defense and settlement of the third-party claim, and (c) reasonable information, cooperation, and assistance in connection with the defense and settlement of the third-party claim. The Indemnified Party’s failure to comply with the foregoing obligations will not relieve the Indemnifying Party of its defense or indemnification obligations under this Section (Indemnification), except to the extent that the Indemnifying Party is prejudiced by such failure. The Indemnified Party will have the right to participate at its own expense in the defense of such third-party claim, including any related settlement negotiations. No such claim may be settled or compromised by the Indemnifying Party without the Indemnified Party’s express written consent (which such consent may not be unreasonably withheld, conditioned, or delayed), unless such settlement or compromise includes a full and complete release of all claims and actions against the Indemnified Party by each party bringing such third-party claim.

12. Warranties

A. RingCentral Warranty

RingCentral will provide the Services using a commercially reasonable level of skill and care, in material compliance with all applicable Laws and otherwise subject to the terms of this Agreement. To the extent permitted by Law, RingCentral shall pass through to Customer any and all warranties RingCentral receives in connection with equipment provided to Customer.

B. Customer Warranty

Customer’s and its End Users’ use of the Services must at all times comply with all applicable Laws and this Agreement.

C. Disclaimer of Warranties

EXCEPT AS SPECIFICALLY SET FORTH IN THIS AGREEMENT AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND RINGCENTRAL MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, QUIET ENJOYMENT, AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE IN TRADE, TOGETHER WITH SIMILAR WARRANTIES, WHETHER ARISING UNDER ANY LAW OR OTHERWISE. TO THE EXTENT THAT RINGCENTRAL CANNOT DISCLAIM ANY SUCH WARRANTY AS A MATTER OF APPLICABLE LAW, THE SCOPE AND DURATION OF SUCH WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Dispute Resolution

A. Good Faith Attempt to Settle Disputes

In the event of any dispute or claim arising out of or relating to the Agreement (a “Dispute”), each Party will appoint a duly authorized representative which will confer with the other Party before either Party brings legal action, to make a reasonable and good faith effort to settle or otherwise resolve such Dispute.

B. Venue

In the event that the Parties are unable to resolve a Dispute, any related action, lawsuit, or proceeding must be brought in and adjudicated exclusively by the national Courts located in the city of Madrid, Spain. Each Party hereby consents to and agrees to submit to the exclusive venue and personal jurisdiction of such courts with respect to any such actions or lawsuits and irrevocably waives any right that it might have to assert that either forum is not convenient or that any such courts lack jurisdiction.

C. Equitable Relief

Any breach of either Party’s IP Rights will cause that Party irreparable harm for which monetary damages will be inadequate and such Party may, in addition to other remedies available at Law or in equity, obtain injunctive relief without the necessity of posting a bond or other security, proof of damages, or similar requirement, in additional to any other relief to which such Party may be entitled under applicable Law.

D. Limitations

Except for actions for non-payment or liability arising from Section 11 (Indemnification), no claim, suit, action or proceeding relating to this Agreement may be brought by either Party more than two (2) years after the cause of action has accrued. Any actions, lawsuits, or proceedings must be conducted solely on an individual basis and the Parties expressly waive any right to bring any action, lawsuit or proceeding as a class or collective action, private attorney general action or in any other capacity acting in a representative capacity.

14. Miscellaneous

A. Relationship of the Parties

RingCentral and Customer are independent contractors and this Agreement will not establish any relationship of partnership, joint venture, employment, franchise or agency between RingCentral and Customer.

B. Assignment

Neither Party may assign the Agreement or any portion thereof without the other Party’s prior written consent (which such consent may not be unreasonably withheld or delayed), however either Party may assign the Agreement and all of that Party’s rights and obligations thereunder without consent (a) to an Affiliate; (b) to the Party’s successor or surviving entity in connection with a merger, acquisition, consolidation, sale of all or substantially all of its assets used in connection with the provision of Services under this Agreement; or (c) as part of the transfer or disposition of more than fifty percent (50%) of a Party’s voting control or assets. This Agreement will bind and inure to the benefit of the Parties, and their permitted assigns and successors.

C. Notices

Except where otherwise expressly stated in the Agreement, all notices or other communications must be in English or Spanish and are deemed to have been fully given when made in writing and delivered in person, upon delivered email or five days after deposit with a reputable overnight courier service, and addressed as follows:

with a copy to [email protected], and to Customer at either the physical address or email address associated with the Customer Account. Customer acknowledges and agrees that all electronic notices have the full force and effect of paper notices.

The addresses to which notices may be given by either Party may be changed upon written notice given to the other Party pursuant to this Section 14C (Notices) or by Customer in the Administrative Portal.

D. Force Majeure

Excluding either Party’s payment obligations under the Agreement, neither Party will be responsible or liable for any failure to perform or delay in performing to the extent resulting from a Force Majeure Event. The suspension of obligations under this Section 14D (Force Majeure) may under no circumstances be a cause of liability for failure to perform the obligation in question, nor induce the payment of damages or penalties for late payment.

E. Third-Party Beneficiaries

RingCentral and Customer agree that there will be no third-party beneficiaries to this Agreement.

F. Internal Customer Activities

RingCentral does not have any obligation to assist in or otherwise mediate in the event of any dispute between Customer representatives or Customer and any third party with respect to ownership or control of any Account or Account Data. All information within RingCentral’s records regarding the ownership or control of an Account or Account Data, Services ordered, and numbers assigned to an Account will be definitive and controlling for purposes of administering the Account. In the event of any such dispute, RingCentral may take any course of action that it deems appropriate based on the information available, which include declining to take any course of action.

RingCentral may access your Account and related data as required to provide the Services. However, RingCentral has no obligation to access your Account, Account Data or any Customer Content for any other purposes. Services do not include or consist of any investigation, review, verification, production, compilation, modification, or other similar services for any Account Data or Customer Content. Services do not include the provision of any legal, accounting or other professional services.

G. Headings, Interpretation

The headings, section titles, and captions used in the Agreement are for convenience of reference only and will have no legal effect. All defined terms include related grammatical forms, and, whenever the context may require, the singular form of nouns and pronouns include the plural, and vice versa. The Parties agree that this Agreement will be deemed to have been jointly and equally drafted by them, and that the provisions of this Agreement therefore should not be construed against a Party or Parties on the grounds that the Party or Parties drafted or was more responsible for drafting the provision(s).

H. Governing Law

The Agreement is governed by the Laws of Spain. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement or Customer’s use of the products or Services.

I. Anti-Bribery

Each Party represents that in the execution of this Agreement and in the performance of its obligations under this Agreement it has complied and will comply with all applicable anti-bribery Laws and regulations, including, without limitation, the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act and similar applicable Laws.

J. Export Control

Any services, products, software, and technical information (including, but not limited to, services and training) provided pursuant to the Agreement may be subject to U.S., Spanish and European export Laws and regulations. Customer will not use distribute, transfer, or transmit the services, products, software, or technical information (even if incorporated into other products) except in compliance with U.S., Spanish, EU and other applicable export regulations.

K. Regulatory and Legal Changes

In the event of any change in Law, regulation or industry change that would prohibit or otherwise materially interfere with RingCentral’s ability to provide Services under this Agreement, RingCentral may terminate the affected Services or this Agreement or otherwise modify the terms thereof.

L. Entire Agreement

The Agreement, together with any exhibits, Orders, and Service Attachments, each of which is expressly incorporated into this Agreement with this reference, constitutes the entire agreement between the Parties and supersedes and replaces any and all prior or contemporaneous understandings, proposals, representations, marketing materials, statements, or agreements, whether oral, written, or otherwise, regarding such subject.

M. Order of Precedence

In the event of any conflict between the documents comprising this Agreement, precedence will be given to the documents in the following descending order: (i) the applicable Order Form; (ii) the applicable Service Attachments; (iii) the main body of this Agreement; (iv) Use Policies and Privacy Notice; and (v) and any other document expressly referred to in this Agreement which governs the Services.

N. Amendments

Except as otherwise provided, this Agreement may only be modified by a written amendment (provided electronically or otherwise) executed by authorized representatives of both Parties. In no event will handwritten changes to any terms or conditions, including in the applicable Order, be effective. Notwithstanding the foregoing, RingCentral may update this Agreement or any of its Equipment, Use Policies and Data Privacy Policies from time to time and will provide notice to Customer at the email address on file with the Account. Such updates will become effective thirty (30) days after such notice to Customer. In the event that any such update would be of material detriment to Customer and is not required by Law, Customer must inform RingCentral of its objection within ten (10) days of receiving the notice provided under this provision. If the Parties, negotiating in good faith cannot reach agreement within thirty (30) days, either Party may terminate the portion of the Services affected by the change without penalty by written notice to the other Party. Any use of the Services after the effective date will be deemed Customer’s acceptance of the change.

O. Severability and Waiver

In the event any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, such provision(s) will be stricken and the remainder of this Agreement will remain legal, valid and binding. The failure by either Party to exercise or enforce any right conferred by this Agreement will not be deemed to be a waiver of any such right or to operate so as to bar the exercise or enforcement of any such or other right on any later occasion. Except as otherwise expressly stated in this Agreement, all rights and remedies stated in the Agreement are cumulative and in addition to any other rights and remedies available under the Agreement, at Law, or in equity.

P. Publicity

Notwithstanding anything to the contrary in this Agreement, RingCentral may identify Customer as a customer (including use of any Customer logo or trademark) and may refer to this Agreement during its earnings calls and in connection with its business deals, press releases, and marketing and/or promotional materials.

Q. Execution

Each Party represents and warrants that: (a) it possesses the legal right and capacity to enter into the Agreement and to perform all of its obligations thereunder; (b) the individual executing an Electronic Signature regarding the Agreement on that Party’s behalf has full power and authority to execute and deliver the same; and (c) the Agreement will be a binding obligation of that Party.

R. Electronic Signature and Counterparts

This Agreement may be executed electronically and in separate counterparts each of which when taken together will constitute one in the same original. Each Party agrees that an Electronic Signature, whether digital or encrypted, is intended to authenticate this Agreement and to have the same force and effect as manual signatures.

S. Survival

The rights and obligations of either Party that by their nature would continue beyond the expiration or termination of this Agreement or an Order will survive expiration or termination of this Agreement or the Order, including without limitation payment obligations, warranty disclaimers, indemnities, limitations of liability, definitions and miscellaneous.

Attachment A - Definitions

Definitions. Capitalized terms used in this Agreement but otherwise not defined have the following meaning:

1. “Account” means the numbered account established with RingCentral and associated with Customer and the Services provided to Customer under this Agreement. For billing and convenience purposes, multiple services, Digital Lines, or End Users may be included in a single billing account, and/or a single Customer may have multiple billing accounts encompassing different geographic locations, business units, or other designations as requested by Customer and accepted by RingCentral.

2. “Account Administrator” means the person(s) who have been granted authority by Customer to set up, amend, or otherwise control settings and/or make additional purchases for the Account via the Administrative Portal. Account Administrators may have varying levels of Account rights, skills, or permissions.

3. “Account Data” means: any business contact information provided with the Account; RingCentral-generated logs of calling or other metadata developed or collected in the provision of the Services; configuration data; and records of Digital Lines and any Services purchased under this Agreement.

4. “Administrative Fees” means any administrative recovery fees, 112 cost recovery fees and the like separately charged by RingCentral to Customer.

5. “Administrative Portal” means the online administrative portal through which Account Administrators control settings and/or make additional purchases for the Account.

6. “Affiliate(s)” means a person or entity that is controlled by a Party hereto, controls a Party hereto, or is under common control with a Party hereto, and “control” means beneficial ownership of greater than fifty percent (50%) of an entity’s then-outstanding voting securities or ownership interests.

7. “Confidential Information” means any information disclosed by or on behalf of the Disclosing Party) to the Receiving Party that should reasonably be considered as confidential given the nature of the information and the circumstances surrounding its disclosure.

8. “Customer Content” means the content of calls, facsimiles, SMS messages, voicemails, voice recordings, shared files, conferences or other communications transmitted or stored through the Services.

9. “Digital Line” means a phone number assigned to an End User or a specifically designated location (e.g., conference room) and the associated voice service for inbound and outbound calling that permits an End User generally to make and receive calls to and from the public switched telephone network as well as to and from other extensions within the same Account.

10. “Disclosing Party” means the Party disclosing Confidential Information or on whose behalf Confidential Information is disclosed by such Party’s agents, including but not limited to, its Affiliates, officers, directors, employees and attorneys.

11. “Dispute” has the meaning set forth in Section 13(A) (Good Faith Attempt to Settle Disputes).

12. “Effective Date” means the date of execution of the initial Order.

13. “Electronic Signature” means an electronic sound, symbol, or process, including clicking a digital button to accept, attached to or logically associated with a contract or other record and executed or adopted by a person with the intent to sign the record.

14. “End Point” means an application or device through which any End-User might access and/or use any of the Services, including without limitation IP Desk Phones, Desktop Clients, Web Clients, Mobile Applications, and Software Integrations.

15. “End User” means an individual user to whom Customer makes the Services available, and may be a natural person, and may include but is not limited to Customer’s employees, consultants, clients, external users, invitees, contractors and agents.

16. “Force Majeure Event” means any event or circumstance that are beyond that Party’s control, which are considered without limitation as force majeure: any act of God; national emergency; third-party telecommunications networks; riot; war; terrorism; governmental act or direction; change in Laws; fiber, cable, or wire cut; Sub-processor failure; power outage or reduction; rebellion; revolution; insurrection; earthquake; storm; hurricane; flood, fire, or other natural disaster; strike or labor disturbance; or other cause, whether similar or dissimilar to the foregoing, not resulting from the actions or inactions of such Party.

17. “Helpdesk” means first-tier support provided to End Users by Customer.

18. “Indemnifying Party” and “Indemnified Party” have the meanings set forth in Section 11(B) (Defense and Indemnification Procedures).

19. “Initial Term” has the meaning set forth in Section 2(E) (Services Term and Automatic Renewal).

20. “Intellectual Property Rights” or “IP Rights” means all common law and statutory rights (whether registered or unregistered, or recorded or unrecorded, regardless of method) arising out of or associated with: (a) patents and patent applications, inventions, industrial designs, discoveries, business methods, and processes; (b) copyrights and copyright registrations, and “moral” rights; (c) the protection of trade and industrial secrets and Confidential Information; (d) other proprietary rights relating to intangible property; (e) trademarks, trade names and service marks; (f) a person’s name, likeness, voice, photograph or signature, including without limitation rights of personality, privacy, and publicity; (g) analogous rights to those set forth above; and (h) divisions, continuations, continuations-in-part, renewals, reissuances and extensions of the foregoing (as applicable).

21. “Law” means any law, statute, regulation, rule, ordinance, administrative guidance, treaty or convention, or court or administrative order or ruling of any governing Federal, State, local or non-U.S. governmental body with jurisdiction over the Services.

22. “Order(s)” or “Order Form(s)” means a request or order for Services describing the type and quantity of Services required by Customer and submitted and accepted by the Parties in accordance with Section 2(A) (Ordering Services). The Order may be presented and executed on the RingCentral website or via the Administrative Portal.

23. “Receiving Party” means the Party or its agents, including, but not limited to its Affiliates, officers, directors, employees and attorneys receiving Confidential Information.

24. “Renewal Term” has the meaning set forth in Section 2(E) (Services Term).

25. “RingCentral Customer Care” means RingCentral’s Customer support operations, available at https://success.ringcentral.com/RCContactSupp.

26. “RingCentral Network” means the network and supporting facilities between and among the RingCentral points of presence (“PoP(s)”), up to and including the interconnection point between the RingCentral’s network and facilities, and the public Internet, private IP networks, and the Public Switched Telephone Network (PSTN). The RingCentral Network does not include the public Internet, a Customer’s own private network, or the PSTN.

27. “Service(s)” means all services provided under this Agreement and set forth in one or more Order(s).

28. “Service Attachment” means documents appended to the Agreement containing additional terms for equipment and Services.

29. “Start Date” means the date so identified in the relevant Order or the date on which Customer orders Services via the website or the Administrative Portal.

30. “Taxes” means any and all federal, state, local, municipal, foreign and other taxes and fees charged or collected from Customers, including but not limited to any Universal Service Fund, TRS and 911 taxes and fees.

31. “Term” means the Initial Term plus any Renewal Terms.

32. “Use Policy” refers to any of the policies identified in Section 5B (Use Policies).

ESTAS CONDICIONES DE SERVICIO ONLINE, incluyendo el/los Pedido(s) y cualquier Anexo de Servicio aplicable, que por esta referencia se incorporan en el presente documento ("Contrato"), son un acuerdo vinculante entre RingCentral France, una société par actions simplifiée francesa con un capital social de 26.623.481 euros, con domicilio social en 3-5 rue Saint-Georges, 75009 París, Francia, inscrita en el Registro Mercantil de París con el número 850 332 149, ("RingCentral"), y la entidad legal identificada en el Pedido ("Cliente"). RingCentral y el Cliente pueden ser denominados individualmente como "Parte" o colectivamente como las "Partes".

RingCentral ofrece servicios y equipos destinados exclusivamente para uso comercial, de conformidad con los términos y condiciones establecidos en este Contrato y con la condición de que el cliente acepte y cumpla con este Contrato. Al firmar electrónicamente este Contrato, el Cliente (a) acepta este contrato y está de acuerdo en que el Cliente está legalmente obligado por sus condiciones; y (b) declara y garantiza que: (i) su representante tiene 18 años o la edad legal para firmar un acuerdo vinculante; y (ii) tiene el derecho, el poder y la autoridad para firmar este contrato en nombre de la compañía, organización gubernamental u otra entidad legal, y para vincular dicha organización a estas condiciones. Si el Cliente no acepta las condiciones de este contrato, ni el Cliente ni sus Usuarios finales podrán descargar, instalar o utilizar los servicios o equipos.

Si el país de origen del Cliente, tal y como se define a continuación, es cualquier otro país que no sea España, consulte las condiciones adicionales específicas de cada país que son aplicables a los Servicios y que están disponibles en https://www.ringcentral.fr/legal/tos-country-specific-terms.html y se incorporan a estas Condiciones de servicio de RingCentral Online.

Las Partes acuerdan lo siguiente:

1. Definiciones

Los términos en mayúsculas no definidos tienen el significado que se les dé en el Anexo A.

2. Pedido y Duración

A. Solicitud de Servicios

El Cliente puede solicitar los Servicios presentando electrónicamente un Pedido en el formato proporcionado por RingCentral en la página web de RingCentral o, para pedidos posteriores, a través del Portal Administrativo. El Pedido identificará los Servicios solicitados por el Cliente junto con: (i) el precio de cada Servicio; (ii) la Fecha de Inicio prevista; (iii) y los productos alquilados, autorizados o vendidos al Cliente, si los hubiera.

Un pedido se convertirá en vinculante cuando sea formalizado por el cliente y aceptado por RingCentral. RingCentral puede aceptar un pedido iniciando la prestación de los servicios solicitados. Los Servicios comenzarán en la Fecha de Inicio, tal como se identifica en el Pedido correspondiente. El cliente puede adquirir servicios, software y equipos adicionales mediante pedidos a través del Portal Administrativo.

B. Descripciones de los Servicios

El(los) Anexo(s) de Servicio aplicable(s) a los Servicios del Cliente está(n) incorporado(s) y forma(n) parte de este Contrato.

RingEX es un servicio de comunicaciones unificadas basado en la nube que incluye comunicaciones por voz profesionales, fax, mensajes de texto, gestión de llamadas, aplicaciones móviles y capacidad “trae tu propio dispositivo” (BYOD, por sus siglas en inglés) que se integra con una lista creciente de aplicaciones. El Anexo de Servicio para RingEX está disponible en

RingCentral Meetings es un servicio de colaboración y videoconferencia empresarial basado en la nube que incluye la posibilidad de compartir pantallas y archivos, mensajes de texto y aplicaciones móviles. El Anexo del Servicio para RingCentral Meetings está disponible en

C. Equipamiento

El Cliente puede comprar o alquilar equipamiento de RingCentral para su uso con los Servicios. Los términos y condiciones que rigen cualquier transacción de este tipo se pueden encontrar en:

D. Duración del Contrato.

La vigencia del presente Contrato comenzará a partir de la fecha de su entrada en vigor y continuará hasta que el último Formulario de Pedido concluya o expire, a menos que se termine antes de acuerdo con sus términos.

E. Duración de los Servicios y Renovación Automática

El periodo de los Servicios comenzará a partir de la Fecha de Inicio del Pedido inicial y continuará durante el período inicial establecido en el Pedido inicial ("Periodo Inicial”). Una vez terminado el Periodo Inicial, los Servicios recurrentes se renovarán automáticamente por periodos sucesivos de la misma duración que el Periodo Inicial (cada uno, "Periodo de Renovación") a menos que cualquiera de las Partes notifique la no renovación al menos treinta (30) días antes de la terminación del Periodo Inicial o del Periodo de Renovación vigente en ese momento. La duración de cualquier Servicio recurrente añadido a la Cuenta después de la formalización del Pedido Inicial comenzará a partir de la Fecha de Inicio del Pedido posterior, se ejecutará de forma paralela al Periodo entonces vigente de cualquier Servicio preexistente, y se facturará en los mismos ciclos de facturación que los Servicios preexistentes.

 

3. Facturación y pago

A. Precios y Cargos

Todos los precios están identificados en euros en la página web o en el Portal Administrativo. Se pueden producir cargos adicionales si el Cliente activa funciones adicionales, excede los umbrales de uso o adquiere Servicios o equipos adicionales. El Cliente será responsable de todos los cargos resultantes del uso de los Servicios en su Cuenta.

Los cargos recurrentes por los Servicios comienzan a partir de la Fecha de Inicio, y continuarán durante el Periodo de vigencia. Los cargos recurrentes (como los cargos por Líneas Digitales, licencias de productos, paquetes de minutos y cuotas de alquiler de equipos), una vez incurridos, permanecerán vigentes durante el Periodo Inicial (tal y como se describe en un Formulario de pedido) o el Plazo de Renovación vigente en ese momento. RingCentral notificará cualquier aumento propuesto en tales cargos a más tardar treinta (30) días antes de la finalización del Periodo Inicial del Plazo de Renovación en curso, y cualquier aumento será efectivo en el primer día del próximo plazo de renovación. Las tasas administrativas que RingCentral tiene derecho a pasar a sus clientes como un recargo de acuerdo con la ley aplicable puede ser aumentadas con un aviso por escrito de treinta (30) días.

Los precios de las llamadas salientes se aplicarán sobre la base de la tarifa vigente en el momento de su uso. El Cliente puede consultar las tarifas vigentes en el Portal Administrativo.

B. Facturación y Pago

Todos los servicios y equipos deben ser adquiridos mediante una tarjeta de crédito o débito válida en el momento de la compra. Al proporcionar una tarjeta de crédito o débito válida, el Cliente está autorizando expresamente que todos los cargos y tasas de los Servicios y equipos se carguen a dicha tarjeta de pago, incluidos los pagos recurrentes facturados mensual o anualmente. Además, la tarjeta de crédito proporcionada por el Cliente se utilizará para cualquier compra del mes para servicios y productos adicionales o, cuando el Cliente ha excedido el uso o los límites de umbral, cualquier cargo por exceso. Los cargos recurrentes se facturan por adelantado según la frecuencia establecida en el Formulario de pedido, y los cargos basados en el uso y los cargos únicos se facturan mensualmente a mes vencido. Los pagos con tarjeta de crédito y débito están sujetos a la aprobación del emisor de la tarjeta, y RingCentral no será responsable de ninguna manera si un emisor de la tarjeta se niega a aceptar una tarjeta de crédito o débito por cualquier motivo. El cliente es responsable de cualquier cargo de la tarjeta de crédito o cargos similares por los pagos denegados o rechazados que RingCentral tiene derecho a cobrar en virtud del presente Contrato. Si la tarjeta de pago asociada a la Cuenta del Cliente es rechazada o falla por cualquier motivo, RingCentral enviará al cliente una notificación utilizando la información de contacto asociada a la Cuenta del Cliente. RingCentral puede seguir tratando el cobro de la tarjeta de pago del Cliente para los cargos pendientes y las tasas adicionales, junto con cualesquiera otros derechos y recursos disponibles para RingCentral en virtud del presente Contrato, de la ley o de la equidad.

A menos que se indique lo contrario en el momento de la compra o en la factura, el pago debe realizarse en su totalidad, sin deducciones ni compensaciones, en un plazo de treinta (30) días a partir de la fecha de facturación. Todo pago no realizado a su vencimiento puede estar sujeto a un recargo por demora equivalente al menor de los siguientes porcentajes: (i) uno y medio por ciento (1,5%) por mes o (ii) si corresponde, el índice más alto permitido por la Ley. La aceptación por parte de RingCentral de los pagos atrasados o parciales (independientemente de la forma en que se marquen o designen (incluyendo sin limitación como "Pagado en su totalidad", "Acuerdo y Satisfecho", o similar) no renunciará, limitará o perjudicará en modo alguno los derechos de RingCentral para cobrar cualquier cantidad adeudada. RingCentral puede rescindir los servicios y este Contrato por falta de pago si no se paga cualquier cuota o cargo dentro de treinta (30) días a partir de la fecha de vencimiento.

C. Impuestos

Todas las tarifas, tasas y cargos no incluyen los Impuestos aplicables, de los cuales el Cliente es el único responsable. Los impuestos pueden variar según la jurisdicción y los servicios prestados. Los impuestos, las tasas de acceso, las tasas de servicio universal u otras tasas de recuperación, o cargos similares, se ajustarán a la fecha en que esos aumentos entren en vigor, conforme a lo dispuesto por la autoridad competente. Si procede la retención de parte de los pagos, entonces el Cliente debe aumentar las sumas pagadas a RingCentral para que el importe recibido por RingCentral, después de practicada la retención, sea la cantidad total que RingCentral habría recibido si no se hubiera hecho ninguna retención o deducción.

D. Disputas de facturación

Si un cliente, de manera razonable y de buena fe, cuestiona cualquier parte de los cargos de RingCentral, debe proporcionar una notificación por escrito a RingCentral en un plazo de treinta (30) días a partir de la fecha de la factura, identificando la razón de la disputa y la cantidad que se cuestiona. La disputa del Cliente en relación con cualquier parte de la factura no excusa la obligación del Cliente de pagar a tiempo la parte no disputada de la factura. Una vez resuelta la disputa, el Cliente debe pagar cualquier cantidad impagada en un plazo de treinta (30) días. Cualquier cantidad que se determine equivocada y que resulte en un sobrepago por parte del Cliente se aplicará como crédito de facturación contra futuros cargos. Al Cliente se le reembolsará cualquier crédito de facturación pendiente a la expiración o terminación de este Contrato.

4. Prestación del Servicio

A. Condiciones generales

RingCentral proporcionará los Servicios tal y como se describe en el Anexo del Servicio pertinente. RingCentral puede mejorar, sustituir y/o cambiar las características de los Servicios, pero no reducirá materialmente las características principales, funciones o seguridad de los Servicios durante el Periodo sin el consentimiento del Cliente.

B. Atención al cliente

·         a) El Cliente debe proporcionar todo el soporte de primer nivel a los Usuarios Finales del Cliente. RingCentral puede requerir que el personal de Asistencia técnica del Cliente complete una serie de cursos de formación sobre los Servicios de RingCentral. Dicha formación será proporcionada online por RingCentral sin coste alguno.

·         b) RingCentral pondrá a disposición del personal de Atención al Cliente y/o de los Administradores de Cuenta un soporte remoto de segundo nivel a través del Centro de Atención al Cliente de RingCentral, que estará disponible las 24 horas del día, los 7 días de la semana, para intentar resolver problemas técnicos y responder a preguntas sobre el uso de los Servicios. Los servicios in situ y de implementación no están incluidos en el soporte del Servicio de Atención al Cliente de RingCentral.

·         c) El cliente puede abrir un asunto con el Servicio de Atención al Cliente de RingCentral en https://success.ringcentral.com/RCContactSupp.  Cualquier persona que se ponga en contacto con el Servicio de Atención al Cliente en nombre del Cliente debe estar autorizada para hacerlo en nombre de la Cuenta y se le pedirá que siga el protocolo de autenticación de RingCentral.

C. Servicios Profesionales

RingCentral ofrece una amplia cartera de servicios profesionales que incluye servicios de implantación in situ y a distancia; servicios empresariales completos, incluida la supervisión proactiva de la red y el soporte técnico de primera calidad; y servicios de consultoría. Cualquiera de estos servicios se rige por este Contrato, el Contrato Servicios Profesionales de RingCentral y cualquier Orden de Trabajo (SOW, por sus siglas en inglés) aplicable, que puede adjuntarse al presente documento.

D. Subcontratación

RingCentral puede proporcionar cualquiera de los Servicios en virtud del presente documento a través de cualquiera de sus filiales o subcontratistas, siempre y cuando RingCentral tenga el mismo grado de responsabilidad por los actos y omisiones de los subcontratistas, que actúan en nombre de RingCentral en el cumplimiento de sus obligaciones en virtud del presente Contrato, que tendría si dichos actos y omisiones fueran realizados por RingCentral directamente.

5. Uso del Servicio

A. Requisitos del Servicio

Los Servicios dependen de un adecuado mantenimiento del acceso a Internet, las redes y la potencia por parte del Cliente, tal como se establece en los Criterios de Suficiencia Técnica de RingCentral, disponibles en

 https://www.ringcentral.com/es/es/legal/technical-sufficiency-criteria.html. RingCentral no será responsable de ninguna deficiencia en la prestación de los Servicios si la red del Cliente no cumple con los Criterios de Suficiencia Técnica de RingCentral.  

B. Políticas de Uso

El Cliente y sus Usuarios Finales pueden utilizar los Servicios únicamente de conformidad con este Contrato, la legislación aplicable y las Políticas de uso a las que se hace referencia a continuación, que se incorporan y forman parte de este Contrato. El cliente no puede utilizar o permitir que el uso de los Servicios interfiera con el uso de los Servicios de RingCentral por parte de otros, o con el funcionamiento de la Red RingCentral. El cliente no puede revender los Servicios. El cliente debe asegurarse de que sus Usuarios Finales cumplan con las Políticas de Uso. Cualquier incumplimiento de esta Sección 5B (Políticas de uso) se considerará un incumplimiento sustancial de este Contrato.

RingCentral puede actualizar las Políticas de Uso de vez en cuando y notificará al Cliente en la dirección de correo electrónico que se encuentra en el archivo de la Cuenta. Estas actualizaciones se harán efectivas treinta (30) días después de dicha notificación al Cliente.

i. Política de Uso aceptable

Los Servicios deben ser utilizados de acuerdo con la Política de Uso Aceptable de RingCentral, disponible en https://www.ringcentral.com/es/es/legal/acceptable-use-policy.html.

Sin perjuicio de lo establecido en este Contrato, RingCentral puede actuar de inmediato y sin previo aviso para suspender o limitar los Servicios en el caso de que RingCentral sospeche de manera razonable que existe una actividad fraudulenta o ilegal en la Cuenta del Cliente, un incumplimiento sustancial de la Política de Uso Aceptable, o el uso de los Servicios que pudieran interferir con el funcionamiento de la red RingCentral, siempre y cuando dicha suspensión o limitación sólo se realice en la medida en que sea razonablemente necesario para protegerse contra el estado, la actividad o el uso correspondiente. RingCentral retirará inmediatamente la suspensión o limitación tan pronto como el estado, la actividad o el uso se resuelva y se mitigue en su totalidad. Si el Cliente prevé una actividad legítima pero inusual en su cuenta, el Cliente debe ponerse, con antelación, en contacto con el Soporte de RingCentral para evitar cualquier interrupción del Servicio.

ii. Servicios de emergencia

La política de RingCentral que rige la prestación de servicios de emergencia a los que se accede a través de los Servicios se puede consultar en

iii. Política de Numeración

El suministro, uso y publicación de los números utilizados conjuntamente con los Servicios se rigen por las Políticas de Numeración de RingCentral, disponibles en

https://www.ringcentral.com/es/es/legal/numbering-policy.html.

6. Resolución

A. Resolución por Causa justificada

Cualquiera de las Partes podrá resolver el presente Contrato y los Servicios adquiridos en virtud del mismo, en su totalidad o en parte, mediante notificación por escrito a la otra Parte si la otra Parte: i) incumple cualquier término sustancial del presente Contrato y no subsana dicho incumplimiento en un plazo de treinta (30) días a partir de la recepción de dicha notificación; ii) por recomendación escrita de un organismo gubernamental o regulador tras un cambio en la legislación aplicable o en los Servicios.

B. Efecto de la Resolución

·         a) Si el Cliente cancela los Servicios, una parte de los Servicios, o este Contrato en su totalidad debido a un incumplimiento sustancial de RingCentral de conformidad con la Sección 6 (A) (Resolución por causa justificada), el Cliente no será responsable de cualquier tasa o cargo por los Servicios objeto de la resolución para cualquier período posterior a la fecha efectiva de dicha resolución (excepto los derivados del uso continuo antes de que los servicios sean desconectados), y RingCentral proporcionará al Cliente un reembolso prorrateado de todo prepago y de las tasas o cargos no utilizados pagados por el Cliente por los Servicios objeto de la resolución.

b) Si este Contrato o cualquier Servicio se resuelve por cualquier motivo que no sea resultado de un incumplimiento material por parte de RingCentral o tal como se establece en la Sección 14 (K) (Cambios normativos y legales) el Cliente debe, en la medida que lo permita la Ley aplicable y sin limitar cualquier otro derecho o recurso de RingCentral, pagar dentro de un plazo de treinta (30) días a partir de dicha resolución todos los importes que se han acumulado antes de dicha resolución, así como todas las cantidades pendientes de pago por los Servicios para el resto del Periodo en curso, más los impuestos y tasas relacionadas.

7. Propiedad Intelectual

A. Licencia Limitada

1. Sujeto y condicionado al cumplimiento por parte del Cliente de los términos de este Contrato, RingCentral concede al Cliente y a su Usuario Final, una licencia limitada, personal, revocable, no exclusiva, intransferible (excepto lo permitido en este Contrato), no susceptible de ser sublicenciada, para utilizar cualquier software proporcionado o puesto a disposición por RingCentral al Cliente como parte de los Servicios ("Software") en la medida en que sea razonablemente necesario para utilizar los Servicios según lo permitido por este Contrato, sólo durante el tiempo que el Cliente tenga derecho a utilizar los Servicios y sujeto a que el Cliente esté al día en sus obligaciones de pago.   

2. El Cliente no hará, y no permitirá a sus Usuarios Finales, que:

 

  • a) Concedan una sublicencia, revendan, distribuyan o asignen su derecho bajo la licencia otorgada en virtud de este Contrato a cualquier otra persona o entidad;
  • b) Modifiquen, adapten o creen trabajos derivados del Software o cualquier documentación asociada;
  • c) realicen ingeniería inversa, descompilen, descifren, desmonten o intenten de cualquier otra forma derivar el código fuente del Software;
  • d) utilicen el Software para análisis de infracciones, análisis comparativos o para cualquier otro propósito para el que no sea necesario utilizar los Servicios que el Cliente está autorizado a utilizar;
  • e) creen cualquier Software o Servicios competidores; o
  • f) eliminen cualquier derecho de autor u otros avisos de propiedad o confidenciales en cualquier Software o Servicio.

B. Derechos de Propiedad Intelectual

i. Derechos de RingCentral

i.          Derechos de RingCentral. Salvo que se disponga expresamente en este Contrato, la licencia limitada concedida al Cliente en virtud de la Sección 7 (A) (Licencia limitada) no confiere ninguna propiedad u otros derechos o licencias, explícitos o implícitos, en los Servicios en cualquier material relacionado o en cualquier Derecho de Propiedad Intelectual y no se conceden, transfieren o asignan derechos de propiedad intelectual u otros derechos o licencias al Cliente, a cualquier Usuario Final o a cualquier otra parte por otorgamiento implícito, impedimento legal o de cualquier otro modo. Todos los derechos no expresamente concedidos en este documento están reservados y mantenidos por RingCentral y sus licenciatarios. El software y los servicios pueden incluir o incorporar servicios, software, tecnología o productos desarrollados o proporcionados por terceros, incluyendo software de código abierto. El Cliente reconoce que el uso indebido de los Servicios de RingCentral puede violar los derechos de propiedad intelectual de terceros.

.ii. Derechos del Cliente

Entre RingCentral y el Cliente, el Cliente conserva la titularidad de todos los derechos de propiedad intelectual que son propiedad del Cliente o sus proveedores. En la medida en que sea razonablemente necesario o deseable para la prestación de los servicios, el Cliente concede a RingCentral una licencia limitada, personal, no exclusiva, libre de cánones, para utilizar los derechos de propiedad intelectual del Cliente en el mismo. El Cliente debe proporcionar (y es el único responsable de proporcionar) todas las notificaciones requeridas y la obtención de todas las licencias, consentimientos, autorizaciones u otras aprobaciones relacionadas con el uso, reproducción, transmisión o recepción de cualquier Contenido del Cliente que incluya información personal o confidencial o incorpore cualquier derecho de propiedad intelectual de terceros.

C. Uso de las Marcas

Ninguna de las Partes podrá utilizar o mostrar las marcas comerciales, marcas de servicio o logotipos de la otra Parte de ninguna manera sin el consentimiento previo por escrito de dicha Parte.

8. Confidencialidad

A. Restricciones de Uso o Revelación por cualquiera de las partes.

Durante la vigencia del presente Contrato y durante al menos un (1) año a partir de entonces, la Parte Receptora mantendrá la Información Confidencial de la Parte Reveladora de forma confidencial, utilizará dicha Información Confidencial únicamente con el fin de cumplir sus obligaciones en virtud del presente Contrato, y empleará al menos el mismo nivel de cuidado en la protección de la Información Confidencial que el que emplea para proteger su propia Información Confidencial.

Cada una de las Partes podrá revelar Información Confidencial únicamente a sus empleados, agentes o subcontratistas que la necesiten para el desempeño o el ejercicio de los derechos u obligaciones de dicha Parte en virtud del presente Contrato y están obligados a protegerla contra la revelación no autorizada de una manera que no sea menos protectora que la exigida por el presente Contrato. Cada una de las Partes podrá revelar la Información Confidencial de la otra Parte en cualquier procedimiento legal o a una entidad gubernamental según lo dispuesto por la Ley.

Estas restricciones del uso o la divulgación de la Información Confidencial no aplican a ninguna información que sea desarrollada independientemente por la Parte Receptora o que se reciba legalmente sin restricciones de otra fuente que tenga derecho a proporcionarla; después de que se haya puesto de manera general a disposición del público sin que la Parte Receptora incumpla el presente Contrato; que en el momento de la divulgación ya fuera conocida por la Parte Receptora, sin restricciones, tal como lo demuestre la documentación en posesión de dicha Parte; o que la Parte Reveladora confirme por escrito que está libre de tales restricciones.

Estas restricciones del uso o la divulgación de la Información Confidencial no aplican a ninguna información que sea desarrollada independientemente por la Parte Receptora o que se reciba legalmente sin restricciones de otra fuente que tenga derecho a proporcionarla; después de que se haya puesto de manera general a disposición del público sin que la Parte Receptora incumpla el presente Contrato; que en el momento de la divulgación ya fuera conocida por la Parte Receptora, sin restricciones, tal como lo demuestre la documentación en posesión de dicha Parte; o que la Parte Reveladora confirme por escrito que está libre de tales restricciones.

9. Protección de datos

A. Privacidad de los datos

RingCentral respeta la privacidad del Cliente y sólo utilizará la información proporcionada por el Cliente a RingCentral o recogidos en la prestación de los Servicios de conformidad con la Adenda de Procesamiento de Datos de RingCentral, disponible en https://www.ringcentral.com/es/es/legal/dpa.html, el cual se incorpora en el presente documento como referencia. RingCentral puede actualizar la Adenda de Procesamiento de Datos cada cierto tiempo y notificará cualquier actualización sustancial al Cliente, según lo dispuesto por las leyes aplicables, a la dirección de correo electrónico que figura en el archivo de la Cuenta. Estas actualizaciones serán efectivas treinta (30) días después de dicha notificación al Cliente.

B. Seguridad de los datos

RingCentral tomará precauciones comercialmente razonables, incluyendo, sin limitación, técnicas (por ejemplo, cortafuegos y cifrado de datos), medidas administrativas y físicas, para ayudar a salvaguardar la Cuenta del Cliente, los Datos de la Cuenta y el Contenido del Cliente contra el uso no autorizado, la divulgación o la modificación. El Cliente debe proteger todos los terminales utilizando medidas de seguridad comercialmente razonables. El Cliente es el único responsable de mantener seguras todas las identificaciones de usuario y las contraseñas. El Cliente debe supervisar el uso de los Servicios para detectar posibles usos ilegales o fraudulentos. El Cliente debe notificar a RingCentral inmediatamente en caso de que se entere o tenga razones para creer que los servicios están siendo utilizados de manera fraudulenta o sin autorización por cualquier Usuario Final o tercero. La falta de notificación a RingCentral puede provocar la suspensión o la Resolución de los servicios y cargos adicionales para el Cliente como resultado de dicho uso. RingCentral no será responsable de los cargos resultantes por el uso no autorizado de la cuenta del Cliente.

C. Cambios en el Software

RingCentral puede, cada cierto tiempo, enviar actualizaciones y parches de software directamente al dispositivo o dispositivos del Cliente para su instalación y el Cliente no impedirá que RingCentral lo haga. El Cliente debe implantar rápidamente todas las correcciones, actualizaciones, mejoras y sustituciones de software y software de terceros que pueda proporcionar RingCentral. RingCentral no será responsable de la inoperatividad de los servicios o cualquier otro fallo de los servicios debido a la falta de implantación oportuna por parte del Cliente de los cambios requeridos.

10. LIMITACIONES DE LA RESPONSABILIDAD

A. Daños excluidos

EN LA MEDIDA EN QUE LO PERMITA LA LEY, EN NINGÚN CASO NINGUNA DE LAS PARTES O SUS AFILIADOS SERÁN RESPONSABLES DE: 1) DAÑOS INCURRIDOS EN AUSENCIA DE UNA CONDUCTA DOLOSA; 2) COSTES DE ADQUISICIÓN, COBERTURA O SUSTITUCIÓN DE BIENES O SERVICIOS; 3) PÉRDIDA DE USO, PÉRDIDA O CORRUPCIÓN DE DATOS; O 4) LA PÉRDIDA DE OPORTUNIDADES DE NEGOCIO, BENEFICIOS, FONDOS DE COMERCIO O AHORROS, YA SEA EN CUALQUIERA DE LOS CASOS ANTERIORES, DERIVADOS DE UN CONTRATO, GARANTÍA, AGRAVIO (INCLUIDA LA NEGLIGENCIA O LA RESPONSABILIDAD OBJETIVA) O CUALQUIER OTRA TEORÍA DE RESPONSABILIDAD, INCLUSO SI ESA PARTE HA SIDO INFORMADA CON ANTELACIÓN DE TALES DAÑOS O SI ÉSTOS PODRÍAN HABER SIDO RAZONABLEMENTE PREVISTOS. NINGUNA DE LAS PARTES SERÁ RESPONSABLE DE LAS MEDIDAS ADOPTADAS DE MANERA RAZONABLE PARA CUMPLIR CON LA LEY.

B. Daños Directos

CON EXCEPCIÓN DE LO ESTABLECIDO EN EL PRESENTE DOCUMENTO, LA RESPONSABILIDAD TOTAL ACUMULADA DE LAS PARTES EN VIRTUD DEL PRESENTE CONTRATO NO EXCEDERÁ DE LAS CANTIDADES PAGADAS O POR PAGAR EN VIRTUD DEL PRESENTE CONTRATO DURANTE LOS SEIS (6) MESES ANTERIORES. LAS LIMITACIONES BAJO ESTA SECCIÓN 10(B) (LÍMITES DE LA RESPONSABILIDAD) NO SE APLICARÁN A: I) LAS OBLIGACIONES DE PAGO DEL CLIENTE; II) LA RESPONSABILIDAD DE CUALQUIERA DE LAS PARTES POR LA VULNERACIÓN DE LOS DERECHOS DE PROPIEDAD INTELECTUAL DE LA OTRA PARTE; III) LA RESPONSABILIDAD DE CUALQUIERA DE LAS PARTES DERIVADA DE NEGLIGENCIA GRAVE, FRAUDE O CONDUCTA DOLOSA O DELICTIVA; O IV) LA RESPONSABILIDAD DEL CLIENTE DERIVADA DEL USO DE LOS SERVICIOS INCUMPLIENDO LA POLÍTICA DE USO ACEPTABLE O LA POLÍTICA DE SERVICIOS DE EMERGENCIA.

NADA EN EL PRESENTE CONTRATO LIMITARÁ O EXCLUIRÁ NINGUNA RESPONSABILIDAD QUE NO PUEDA SER RESTRINGIDA, LIMITADA O EXCLUIDA EN VIRTUD DE LA LEGISLACIÓN APLICABLE.

C. Continuidad

Las limitaciones de responsabilidad contenidas en esta Sección 10 (Limitación de responsabilidad) continuarán a la resolución o expiración del presente Contrato y se aplicarán en todas y cada una de las circunstancias (excepto en los casos expresamente indicados anteriormente), incluyendo sin limitación el caso de que falle el propósito esencial de cualquier garantía limitada o remedio disponible aquí previsto.

11. Indemnización

A. Obligaciones de Indemnización

El cliente se compromete a indemnizar y defender a RingCentral y sus filiales a expensas del cliente, de y contra todas y cada una de las reclamaciones de terceros, que se deriven de o en relación con: i) la violación sustancial de la ley aplicable por el cliente o sus usuarios finales en relación con el uso de los servicios, ii) el uso de los servicios de una manera no autorizada por este Contrato, iii) la no instalación inmediata de cualquier actualización de cualquier software o firmware o aceptar o utilizar artículos modificados o de reemplazo proporcionados por o en nombre de RingCentral, o iv) las reclamaciones relacionadas con el contenido del cliente. Además, el cliente indemnizará y eximirá de responsabilidad a RingCentral contra todos los daños, costes y tasas legales finalmente concedidas contra RingCentral por un tribunal de una jurisdicción competente en relación con dicha reclamación de terceros o acordadas en un acuerdo de liquidación por escrito aprobado por el cliente.

B. Procedimientos de Defensa e Indemnización

Toda Parte que busque defensa o una indemnización (la "Parte Indemnizada") tendrá que proporcionar a la Parte a la que solicita dicha indemnización o defensa (la "Parte Indemnizadora") lo siguiente: (a) rápida notificación por escrito de la Reclamación de Terceros, (b) control exclusivo sobre la defensa y el acuerdo de la Reclamación de Terceros, e (c) información, cooperación y asistencia adecuadas en relación con la defensa y el acuerdo de la Reclamación de Terceros. El incumplimiento de la Parte Indemnizada de las obligaciones anteriores no eximirá a la Parte Indemnizadora de sus obligaciones de defensa o indemnización en virtud de esta Sección (Indemnización), salvo en la medida en que la Parte Indemnizadora resulte perjudicada por dicho incumplimiento. La Parte Indemnizada tendrá derecho a intervenir a su propia costa, en la defensa de dicha Reclamación de Terceros, incluyendo cualquier negociación de acuerdo relacionada. La Parte Indemnizadora no podrá resolver ni llegar a un acuerdo sobre dicha reclamación sin el consentimiento expreso por escrito de la Parte indemnizada (dicho consentimiento no deberá ser denegado, condicionado o retrasado sin motivo) a menos que dicha resolución o acuerdo incluya una exención total y completa de todas las reclamaciones y acciones contra la Parte Indemnizada por parte de cada una de las partes que presenten dicha Reclamación de Terceros.

12. Garantías

A. Garantía de RingCentral

RingCentral proporcionará los Servicios utilizando un nivel comercialmente adecuado de habilidad y cuidado, en cumplimiento material de todas las Leyes aplicables y de cualquier otra forma sujeto a los términos de este Contrato. En la medida permitida por la ley, RingCentral transmitirá al Cliente todas y cada una de las garantías que RingCentral reciba en relación con el equipo proporcionado al Cliente.

B. Garantía del Cliente

El uso de los Servicios por parte del Cliente y de sus Usuarios Finales debe cumplir siempre con todas las leyes aplicables y con este Contrato.

C. Renuncia de Garantías

EXCEPTO LO ESPECÍFICAMENTE ESTABLECIDO EN ESTE CONTRATO Y EN LA MEDIDA EN QUE LO PERMITA LA LEY, LOS SERVICIOS SE PROPORCIONAN "COMO SON" Y "SEGÚN ESTÉN DISPONIBLES", Y RINGCENTRAL NO OFRECE NINGUNA OTRA GARANTÍA, EXPLÍCITA O IMPLÍCITA, INCLUIDAS, ENTRE OTRAS, LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, NO INFRACCIÓN, DISFRUTE RESERVADO Y APTITUD PARA UN PROPÓSITO PARTICULAR Y CUALQUIER GARANTÍA QUE SURJA DE UNA TRANSACCIÓN O USO EN EL COMERCIO, JUNTO CON GARANTÍAS SIMILARES, YA SURJAN EN VIRTUD DE CUALQUIER LEY O DE OTRO MODO. EN LA MEDIDA EN QUE RINGCENTRAL NO PUEDA RENUNCIAR A NINGUNA DE ESAS GARANTÍAS EN VIRTUD DE LA LEGISLACIÓN APLICABLE, SU ALCANCE Y DURACIÓN SE LIMITARÁN AL MÁXIMO PERMITIDO POR LA LEY.

13. Solución de controversias

A. Intento de buena fe de resolver las controversias

En caso de cualquier controversia o reclamación que surja del Contrato o esté relacionada con él (una "Disputa"), cada una de las Partes nombrará a un representante debidamente autorizado que consultará con la otra Parte antes de que ésta emprenda acciones legales, para hacer un esfuerzo razonable y de buena fe por resolver dicha Disputa.

B. Sede

En caso de que las Partes no puedan resolver una Disputa, cualquier acción, demanda o procedimiento relacionado deberá ser presentado y adjudicado exclusivamente a los tribunales ubicados en la ciudad de Madrid, España. Por el presente Contrato, cada una de las Partes consiente y acuerda someterse a la jurisdicción exclusiva y personal de esos tribunales con respecto a cualquiera de esas acciones o demandas y renuncia irrevocablemente a cualquier derecho que pudiera tener a afirmar que cualquiera de los foros no es conveniente o que cualquiera de esos tribunales carece de jurisdicción.

C. Compensación Equitativa

Cualquier violación de los derechos de propiedad intelectual de cualquiera de las Partes causará a esa Parte un daño irreparable para el cual la indemnización pecuniaria resulte insuficiente y esa Parte podrá, además de otros recursos disponibles en Derecho o en equidad, obtener medidas cautelares sin necesidad de depositar una fianza u otra garantía, prueba de daños y perjuicios o un requisito similar, además de cualquier otra reparación a la que esa Parte pueda tener derecho en virtud de la Ley aplicable.

D. Prescripciones

Excepto en el caso de las acciones por falta de pago o responsabilidad derivadas de la sección 11 (Indemnización), ninguna reclamación, demanda, acción o procedimiento relacionado con el presente Contrato podrá ser presentado por ninguna de las Partes más de dos (2) años después de que se haya producido la causa de la acción. Cualquier acción, pleito o procedimiento deberá llevarse a cabo únicamente de forma individual y las partes renuncian expresamente a todo derecho a entablar cualquier acción, pleito o procedimiento como una acción colectiva o de grupo, una acción interpuesta por un fiscal o en cualquier otra condición actuando en calidad de representante.

14. Miscelánea

A. Relación de las Partes

RingCentral y el Cliente son contratistas independientes y este Contrato no establecerá ninguna relación de asociación, joint venture, empleo, franquicia o agencia entre RingCentral y el Cliente.

B. Cesión

Ninguna de las Partes podrá ceder el Contrato o cualquier parte del mismo sin el consentimiento previo y por escrito de la otra Parte (dicho consentimiento no podrá ser denegado o retrasado sin motivo), sin embargo, cualquiera de las Partes podrá ceder el Contrato y todos los derechos y obligaciones de esa Parte en virtud del mismo sin consentimiento (a) a una  Afiliado; (b) al sucesor o entidad subsistente de la Parte en relación con una fusión, adquisición, consolidación, venta de todos o casi todos sus activos utilizados en relación con la prestación de Servicios bajo este Contrato; o (c) como parte de la transferencia o disposición de más del cincuenta por ciento (50%) del control de derechos de voto o activos de una Parte. El presente Contrato vinculará y redundará en beneficio de las Partes así como de sus cesionarios y sucesores autorizados.

C. Notificaciones

Salvo que se indique expresamente lo contrario en el Contrato, todas las notificaciones u otras comunicaciones deberán estar en inglés o  español se considerará que han sido entregadas íntegramente cuando se efectúen por escrito y se entreguen en persona, tras la recepción de un correo electrónico, o cinco días después de haber sido entregadas a un servicio de mensajería acreditado con entrega urgente en 24 horas, y se dirijan a la siguiente dirección: Para RingCentral en

con una copia a [email protected], y para el Cliente en la dirección física o la dirección de correo electrónico asociada con la Cuenta de Cliente.

El Cliente reconoce y acepta que todas las notificaciones electrónicas tienen la misma vigencia y efecto que las notificaciones en papel. Las direcciones a las que las notificaciones pueden ser entregadas por cualquiera de las partes pueden ser cambiadas mediante una notificación por escrito a la otra Parte de conformidad con esta Sección 14C (Notificaciones) o por el Cliente en el Portal Administrativo.

D. Fuerza Mayor

Sin perjuicio de las obligaciones de pago de cualquiera de las Partes en virtud del Contrato, ninguna de las Partes será responsable o estará obligada a cumplir o retrasar su cumplimiento en la medida que ocurra un acontecimiento de fuerza mayor. La suspensión de las obligaciones en virtud del presente artículo 14D (Fuerza Mayor) no podrá, bajo ninguna circunstancia, ser causa de responsabilidad por el incumplimiento de la obligación en cuestión, ni inducir al pago de daños y perjuicios o sanciones por demora en el pago.

E. Terceros Beneficiarios

RingCentral y el Cliente acuerdan que no habrá terceros beneficiarios de este Contrato.

F. Actividades de Clientes Internos

RingCentral no tiene ninguna obligación de ayudar o mediar en caso de cualquier disputa entre los representantes del Cliente o el Cliente y cualquier tercero con respecto a la propiedad o el control de cualquier cuenta o datos de la cuenta. Toda la información dentro de los registros de RingCentral con respecto a la propiedad o el control de una cuenta o datos de la cuenta, los servicios solicitados y los números asignados a una cuenta será definitiva y controlada para fines de administración de la cuenta. En el caso de cualquier disputa de este tipo, RingCentral puede tomar cualquier acción que considere adecuada sobre la base de la información disponible, lo que incluye la negativa a tomar cualquier acción.

RingCentral puede acceder a su Cuenta y a los datos relacionados según sea necesario para proporcionar los Servicios. Sin embargo, RingCentral no tiene ninguna obligación de acceder a su Cuenta, a los datos de la misma o a cualquier Contenido de los clientes para cualquier otro propósito. Los Servicios no incluyen ni consisten en ninguna investigación, revisión, verificación, producción, compilación, modificación u otros servicios similares para cualquier Dato de la cuenta o Contenido del cliente. Los Servicios no incluyen la prestación de ningún servicio legal, contable o profesional de otro tipo.

G. Encabezamientos, Interpretación.

Los encabezamientos, títulos de sección y leyendas utilizados en el Contrato son sólo para facilitar la referencia y no tendrán ningún efecto legal. Todos los términos definidos incluyen formas gramaticales relacionadas y, siempre que el contexto lo requiera, la forma singular de los sustantivos y pronombres incluye el plural y viceversa. Las Partes acuerdan que se considerará que el presente Contrato ha sido redactado conjuntamente y por igual por ellas y que, por lo tanto, las disposiciones del presente Contrato no deben interpretarse en contra de una o varias Partes por el hecho de que la o las Partes hayan redactado o hayan sido más responsables en la redacción de la(s) disposición(es).

H. Leyes Vigentes

El Contrato se rige por las leyes de España, excluyendo las normas de elección de leyes. La Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías no se aplica a este Contrato ni al uso de los productos o Servicios por parte del Cliente.

I. Antisoborno

Cada una de las Partes declara que, en la ejecución de este Contrato y en el cumplimiento de sus obligaciones, ha cumplido y cumplirá con todas las leyes y reglamentos antisoborno aplicables, incluidas, entre otras, la Ley de prácticas corruptas extranjeras, la Ley de soborno de Estados Unidos, la Ley de soborno del Reino Unido y otras leyes similares aplicables.

J. Control de Exportaciones

Todos los servicios, productos, programas informáticos e información técnica (incluidos, entre otros, los servicios y la formación) que se presten en virtud del Contrato podrán estar sujetos a las leyes y reglamentos de exportación españolas y europeas. El Cliente no distribuirá, transferirá o transmitirá los servicios, productos, software o información técnica (incluso si se incorporan a otros productos) excepto en cumplimiento de las leyes de exportación españolas y comunitarias y otras regulaciones de exportación aplicables.

K. Cambios Normativos y Legales

En el caso de cualquier cambio en la ley, la normativa o cambio en el sector que prohíba o interfiera sustancialmente con la capacidad de RingCentral para proporcionar servicios en virtud del presente Contrato, RingCentral puede resolver los Servicios afectados o este Contrato o modificar los términos de este último.

L. Contrato Íntegro

El Contrato, junto con cualesquiera Anexos, Pedidos, Anexos de Servicios, cada uno de los cuales se incorpora expresamente a este Contrato con esta referencia, constituye el Contrato Íntegro entre las Partes y sustituye y reemplaza a todos y cada uno de los entendimientos, propuestas, representaciones, materiales de marketing, declaraciones o acuerdos anteriores o contemporáneos, ya sean orales, escritos o de otro tipo, en relación con dicho tema.

M. Orden de Precedencia

En caso de conflicto entre los documentos que componen este Contrato, se dará prioridad a los documentos en el siguiente orden descendente: (i) el Formulario de Pedido correspondiente; (ii) el Anexo de Servicio correspondiente; (iii) el cuerpo principal de este Contrato; (iv) las Políticas de Uso y la Comunicación de Privacidad; y (v) y cualquier otro documento expresamente mencionado en este Contrato que regula los Servicios.

N. Enmiendas

Salvo disposición en contrario, el presente Contrato sólo podrá modificarse mediante una enmienda por escrito (facilitada electrónicamente o de cualquier otro modo) firmada por representantes autorizados de ambas Partes. En ningún caso tendrán efecto las modificaciones manuscritas de ninguno de los términos o condiciones, incluidos en el Pedido correspondiente. No obstante lo anterior, RingCentral puede actualizar este Contrato o cualquiera de sus equipos, políticas de uso y políticas de privacidad de datos cada cierto tiempo y proporcionará un aviso al cliente en la dirección de correo electrónico en el archivo de la Cuenta. Estas actualizaciones serán efectivas treinta (30) días después de dicha notificación al Cliente. En el caso de que cualquier actualización de este tipo fuera un perjuicio sustancial para el Cliente y no sea requerida por la Ley, el Cliente debe informar a RingCentral de su objeción dentro de los diez (10) días de recibir la notificación prevista en esta disposición. Si las Partes, negociando de buena fe no pueden llegar a un acuerdo dentro de treinta (30) días, cualquiera de las Partes puede resolver la parte de los Servicios afectados por el cambio sin penalización mediante una notificación por escrito a la otra Parte. Cualquier uso de los Servicios después de la fecha de entrada en vigor se considerará la aceptación del cambio por parte del Cliente.

O. Divisibilidad y Renuncia

En caso de que un tribunal de jurisdicción competente considere que alguna de las disposiciones del presente Contrato es inválida, nula o inaplicable, dicha(s) disposición(es) quedará(n) anulada(s) y el resto del Contrato seguirá siendo legal, válido y vinculante. El hecho de que una de las partes no ejerza o no haga cumplir un derecho conferido por el presente Contrato no se considerará como una renuncia a tal derecho, ni tampoco como una prohibición de ejercer o hacer cumplir ese u otro derecho en una ocasión posterior. Salvo que se indique expresamente lo contrario en el presente Contrato, todos los derechos y compensaciones establecidos en el Contrato son acumulativos y se suman a cualesquiera otros derechos y compensaciones disponibles en virtud del Contrato, de la Ley o de la equidad.

P. Publicidad

A pesar de cualquier disposición en contrario en este Contrato, RingCentral puede identificar al Cliente como un Cliente (incluyendo el uso de cualquier logotipo o marca comercial del Cliente) y puede hacer referencia a este Contrato durante las conferencias telefónicas sobre los resultados y en relación con sus acuerdos comerciales, comunicados de prensa y materiales de marketing y / o promocionales.

Q. Ejecución

Cada parte garantiza que: a) posee el derecho y la capacidad legales para celebrar el Contrato y cumplir todas sus obligaciones en virtud del mismo; b) la persona que realice una firma electrónica relativa al Contrato en nombre de esa Parte tiene plenos poderes y autoridad para ejecutar y entregar la misma; y c) El Contrato será una obligación vinculante de esa Parte.

R. Firma electrónica y contrapartes

El presente Contrato podrá ejecutarse electrónicamente y en contrapartidas separadas, cada una de las cuales, tomada en conjunto, constituirá una sola en el original. Cada una de las Partes acuerda que la firma electrónica, ya sea digital o cifrada, tiene por objeto autenticar el presente Contrato y tiene la misma fuerza y efecto que las firmas manuales.

S. Continuidad

Los derechos y obligaciones de cualquiera de las Partes que por su naturaleza continuarían más allá de la expiración o Resolución de este Contrato o del Pedido continuarán después de la expiración o Resolución de este Contrato o del Pedido, incluyendo sin limitación las obligaciones de pago, renuncias de garantía, indemnizaciones, limitaciones de responsabilidad, definiciones y misceláneas.

Anexo A - Definiciones

Definiciones. Los términos en mayúsculas que se utilizan en el presente Contrato, y que no se definan de otro modo, tienen el siguiente significado:

1. "Cuenta" se refiere a la cuenta numerada establecida con RingCentral y asociada con el Cliente y los Servicios prestados al Cliente en virtud del presente Contrato. Por motivos de facturación y facilidad, se pueden incluir múltiples servicios, Líneas Digitales o Usuarios Finales en una sola cuenta de facturación, y/o un solo Cliente puede tener múltiples cuentas de facturación que abarquen diferentes ubicaciones geográficas, unidades de negocios u otras designaciones según lo solicite el Cliente y lo acepte RingCentral.

2. "Administrador de la Cuenta" se refiere a la persona o personas a las que el Cliente ha concedido autoridad para establecer, modificar o controlar de cualquier otro modo las configuraciones y/o realizar compras adicionales para la Cuenta a través del Portal Administrativo. Los Administradores de Cuenta pueden tener diferentes niveles de derechos, habilidades o permisos de la Cuenta.

3. "Datos de la Cuenta" se refiere a: cualquier información de contacto comercial facilitada con la Cuenta; registros de llamadas u otros metadatos generados por RingCentral desarrollados o recogidos en la prestación de los Servicios; datos de configuración; y registros de Líneas Digitales y cualquier Servicio adquirido en virtud del presente Contrato.

"Tasas Administrativas" se refiere a cualquier tasa de recuperación administrativa, tasas de recuperación de costes del 112 y demás similares cobrados por separado por RingCentral al Cliente.

5. "Portal Administrativo" se refiere al portal administrativo en línea a través del cual los Administradores de Cuentas controlan los ajustes y/o hacen compras adicionales para la Cuenta.

6."Afiliado(s)" hace referencia a una persona o entidad que es controlada por una de las Partes del presente Contrato, controla una de las Partes del presente Contrato o está bajo control común de una de las Partes del presente Contrato, y "control" significa la propiedad efectiva de más del cincuenta por ciento (50%) de los títulos con derecho a voto o participaciones de propiedad de una entidad en ese momento.

7. "Información Confidencial" hace referencia a cualquier información revelada por o en nombre de la Parte Reveladora a la Parte Receptora que debería considerarse razonablemente como confidencial dada la naturaleza de la información y las circunstancias que rodean su revelación.

8. "Contenido del Cliente" hace referencia al contenido de las llamadas, faxes, mensajes SMS, mensajes de voz, grabaciones de voz, archivos compartidos, conferencias u otras comunicaciones transmitidas o almacenadas a través de los Servicios.

9. “"Línea Digital" hace referencia a un número de teléfono asignado a un Usuario final o a un lugar específicamente designado (por ejemplo, una sala de conferencias) y al servicio de voz asociado para llamadas entrantes y salientes que permite a un Usuario final en general hacer y recibir llamadas hacia y desde la red telefónica pública conmutada, así como hacia y desde otras extensiones dentro de la misma Cuenta.

10. "Parte Reveladora" designa a la Parte que revela la Información Confidencial o en cuyo nombre la Información Confidencial es revelada por los representantes de dicha Parte, incluyendo pero no limitándose a sus Afiliados, directivos, directores, empleados y abogados.

11. "Disputa" hace referencia a la Sección 13(A) (Intento de buena fe de resolver las controversias).

12. "Fecha de vigencia" significa la fecha de ejecución de la Orden inicial.

13. "Firmas Electrónicas" se refiere a un sonido, símbolo o proceso electrónico, incluido el hecho de hacer clic en un botón digital para aceptar, adjuntar o asociarse razonablemente a un contrato u otro registro y firmado o adoptado por una persona con la intención de firmar el registro.

14."Terminal" se refiere a una aplicación o dispositivo a través del cual cualquier Usuario Final puede acceder y/o utilizar cualquiera de los Servicios, incluyendo, sin limitación, Teléfonos IP de escritorio, Clientes de escritorio, Clientes Web, Aplicaciones móviles e Integraciones de software.

15."Usuario final" se refiere a un usuario individual al que el Cliente pone a disposición los Servicios, pudiendo ser una persona física, y puede incluir, entre otros, empleados, consultores, Clientes, usuarios externos, invitados, contratistas y agentes del Cliente. 16.”Evento de Fuerza Mayor” significa cualquier acontecimiento o circunstancia que esté fuera del control de esa Parte, que se considera sin limitación como fuerza mayor: cualquier caso fortuito; emergencia nacional; redes de telecomunicaciones de terceros; disturbios; guerra; terrorismo; ley o instrucción gubernamental; cambio de leyes; corte de fibra, cable o alambre; fallo de un subprocesador; corte o reducción de energía eléctrica; rebelión; revolución; insurrección; terremoto; tormenta; huracán; inundación, incendio u otro desastre natural; huelga o disturbio laboral; u otra causa, ya sea similar o diferente a las anteriores, que no resulte de las acciones o inacciones de dicha Parte.

17. "Asistencia Técnica" significa el soporte de primer nivel que el cliente proporciona a los usuarios finales.

18. "Parte Indemnizadora" y "Parte Indemnizada" tienen los significados establecidos en la sección 11(B) (Procedimientos de Defensa e Indemnización).

19. "Periodo Inicial” tiene el significado establecido en la sección 2(E) (Duración de los servicios y Renovación Automática).

20. “Derechos de propiedad intelectual” o “Derechos de PI” hacen referencia a todos los derechos del derecho común y estatutario (ya sea registrados o no registrados, o inscritos o no inscritos, independientemente del método) que se derivan de o están asociados con: a) las patentes y solicitudes de patentes, las invenciones, los diseños industriales, los descubrimientos, los métodos y procesos comerciales; b) los derechos de autor y los registros de derechos de autor, y los derechos “morales”; c) la protección de los secretos comerciales e industriales y de la información confidencial; d) otros derechos de propiedad relacionados con bienes intangibles; e) las marcas comerciales, los nombres comerciales y las marcas de servicio; f) el nombre, la semejanza, la voz, la fotografía o la firma de una persona, incluidos, entre otros, los derechos de la personalidad, la privacidad y la publicidad; g) los derechos análogos a los enunciados anteriormente; y h) las divisiones, continuaciones, continuaciones en parte, renovaciones, reediciones y extensiones de todo lo anterior (según proceda).

21. “Ley” hace referencia a cualquier ley, estatuto, reglamento, norma, ordenanza, orientación administrativa, tratado o convención, sentencia o fallo judicial o administrativo de cualquier órgano gubernamental, estatal, autonómico, local o extranjero con jurisdicción sobre los Servicios.

22. “Pedido(s)” y “Formulario(s) de Pedido” hace referencia a una solicitud de Servicio que describe el tipo y la cantidad de Servicios requeridos por el Cliente y que ha sido presentada y aceptada por las Partes de acuerdo con la Sección 2(A) (Servicios de Pedido). El Pedido puede ser presentado y firmado a través del Portal Administrativo.

23. “Parte Receptora” significa la Parte o sus representantes, incluyendo, pero no limitándose a sus Afiliados, funcionarios, directores, empleados y abogados que reciben Información Confidencial.

24.“Periodo de Renovación” tiene el significado establecido en la Sección 2(E) (Duración de los Servicios).

25. "Atención al cliente de RingCentral" significa las operaciones de atención al cliente de RingCentral, disponibles en https://success.ringcentral.com/RCContactSupp.

26. “Red RingCentral” se refiere a la red y las instalaciones de apoyo entre los puntos de presencia de RingCentral (“PoP(s)”, por sus siglas en inglés), incluyendo el punto de interconexión entre la red y las instalaciones de RingCentral, el Internet de acceso público, las redes IP Privadas y la red telefónica Conmutada (RTC). La Red RingCentral no incluye el Internet público, la red privada propia del Cliente ni la Red Telefónica Conmutada (RTC).

27. “Servicio(s)” significa todos los servicios prestados en virtud del presente Contrato y establecidos en uno o más Pedidos.

28. "Anexo de servicios" se refiere a los documentos adjuntos al Contrato que contienen condiciones adicionales para el equipo y los servicios.

29. “Fecha de Inicio” se refiere a la fecha identificada en el Pedido correspondiente o a la fecha en que el Cliente solicita Servicios a través del Portal Administrativo.

30.“Impuestos” hace referencia a todos y cada uno de los impuestos y tasas administrativas, estatales, locales, municipales, extranjeras y de otro tipo que se cobren o se recauden de los Clientes.

31.“Duración” hace referencia a la Duración Inicial más los Periodos de Renovación.

32. “Política de Uso” hace referencia a cualquiera de las políticas identificadas en la Sección 5(B) (Políticas de Uso).
